1Purpose of This Agreement
This Agreement establishes the general terms under which 4th Vision Studios LLC (“4th Vision”) provides professional voiceover production services to the Client.
Professional Voiceover services may be used for commercials, advertising, corporate and business media, branded content, social media, YouTube, podcasts, narration, e-learning, real estate, radio, television, film, animation, video games, applications, training content, phone systems, and other approved media projects.
The exact project requirements, deliverables, usage, voice talent, timeline, and applicable investment will be established through the applicable Statement of Work (“SOW”), proposal, invoice, project confirmation, or other written agreement.
This Agreement establishes the general terms governing the project. It does not guarantee any specific business, marketing, audience, sales, financial, entertainment, or other result.
2Standard Investment & Project Scope
The standard Professional Voiceover service starts at $350 USD.
The $350 starting investment applies to a defined voiceover project within the standard service scope.
The final project investment may vary based on voice talent requirements, number of voices, script or project complexity, language requirements, accent or specialized performance requirements, usage and licensing requirements, broadcast or advertising requirements, third-party talent or production costs, rush scheduling, additional deliverables, and additional production services.
The standard investment does not represent unlimited voiceover production, unlimited scripts, unlimited versions, unlimited voices, unlimited languages, unlimited usage rights, or unlimited revisions.
Any material expansion of the approved project scope may require an additional quote, SOW, or written change order.
3Voice Talent
4th Vision may provide voiceover performance using its own available voice talent or coordinate third-party professional voice talent when appropriate.
The Client may request a particular vocal style, gender, age range, accent, language, performance style, or other characteristics.
If the requested voice requires third-party talent, specialized performers, professional casting, additional recording resources, or other external costs, those costs may be quoted separately.
4th Vision will communicate material third-party costs before committing the Client to those expenses when reasonably possible.
No additional third-party cost will be committed on the Client's behalf without Client approval.
Third-party voice talent remains subject to the applicable talent agreement, usage terms, licensing terms, and other restrictions imposed by that talent or talent provider.
4Scripts & Client Materials
The Client may provide a completed script, request assistance refining a script, collaborate with 4th Vision on script development, or provide other approved source materials.
4th Vision may recommend adjustments to improve clarity, pacing, tone, pronunciation, delivery, or overall production quality.
Unless otherwise agreed in writing, the Client remains responsible for the factual accuracy and legal or regulatory suitability of Client-specific information contained in the script.
This includes names, numbers, prices, claims, product information, business information, legal statements, compliance language, addresses, phone numbers, URLs, and required disclosures.
Client approval is required before final production of material containing Client-specific information.
The Client represents that it has the necessary rights or permissions to provide any scripts, recordings, trademarks, music, images, videos, or other materials supplied to 4th Vision.
5Creative Direction
Each standard project includes one primary creative direction, unless otherwise stated in the applicable SOW or project confirmation.
The Client may provide references regarding tone, pacing, energy, audience, pronunciation, performance style, brand personality, and reference performances.
4th Vision will use reasonable professional judgment to produce the approved voiceover direction.
A substantially different creative direction after production has begun may be treated as new scope rather than a revision.
6Usage & Licensing
The standard project investment includes ordinary commercial use of the completed voiceover for the approved project and intended uses identified in the applicable project scope.
Usage may include websites, social media, corporate communications, business presentations, standard digital content, approved advertising or marketing content, and other uses specifically identified in the project scope.
Specialized or expanded usage may require additional licensing or fees.
This may include national or large-scale advertising campaigns, television or broadcast campaigns, specialized paid-media licensing, extended or exclusive talent usage, union or guild requirements, celebrity or recognizable talent, specialized third-party talent licensing, major campaign extensions, or uses outside the approved project scope.
Where third-party voice talent is used, the Client's usage rights are subject to the rights actually granted under the applicable talent agreement or license.
4th Vision does not grant rights that it does not itself possess.
7Revisions
Two (2) rounds of revisions are included in the standard Professional Voiceover service.
A revision round means reasonable feedback intended to modify the approved creative direction or production.
Examples include adjusting vocal delivery, changing pacing, correcting pronunciation, minor timing adjustments, minor wording changes, performance adjustments, and correcting production details.
Additional revision rounds are billed at $150 per additional revision round, unless otherwise quoted in writing.
A substantially rewritten script, substantially different creative direction, new voice, additional voice, additional language, new deliverable, or material expansion of the project may be treated as new scope rather than a revision.
8Production & Deliverables
The standard Professional Voiceover service includes professional voiceover production appropriate to the approved project.
Standard production may include recording, editing, noise cleanup, mixing, mastering, and final file preparation.
Standard final delivery formats include WAV and MP3.
Other formats may be provided when technically necessary and agreed upon.
Dry/raw voice files, stems, alternate mixes, music-only files, sound-effects-only files, session files, additional edited versions, and additional formats are included only when identified in the applicable SOW or project confirmation.
Music production, original music, Foley, sound design, and other substantial audio-production services are not automatically included in the standard $350 Professional Voiceover service and may be quoted separately.
9Project Timeline
The standard expected turnaround is approximately 5–7 business days.
The timeline begins after required payment has cleared, the project scope has been approved, required scripts and materials have been received, required voice direction or references have been provided, and any necessary third-party talent or licensing requirements have been approved.
The timeline is an estimate and may be affected by Client delays, missing materials, revisions, third-party talent availability, approvals, licensing requirements, or circumstances outside 4th Vision's reasonable control.
Rush Production: Rush production may be available depending on production capacity. Rush requests are subject to availability and may require an additional fee. Rush pricing and delivery requirements will be confirmed in writing before production begins.
10Payment & Project Start
Unless otherwise agreed in writing, the Professional Voiceover service is paid 100% upfront.
Production will begin after payment has cleared, the project scope has been confirmed, required Client materials have been received, and any required third-party costs or approvals have been completed.
The standard workflow is designed to be completed asynchronously. A live call is not required to begin a standard Professional Voiceover project unless the project circumstances or scope require one.
Email and documented project communication will be used to confirm applicable project requirements.
Unless otherwise agreed in writing, payments become non-refundable once substantive production begins, subject to applicable law.
Final delivery and transfer of applicable ownership rights are subject to full payment of all amounts due.
11Cancellation & Termination
The Client may request cancellation before substantive production begins.
If cancellation occurs before substantive production begins, any refund or retained amount will be determined according to the applicable payment terms, work already performed, committed third-party costs, and project circumstances, subject to applicable law.
If the Client cancels or the project is terminated after substantive production begins, 4th Vision may retain amounts already paid to cover work performed, production time, committed third-party costs, talent costs, licensing costs, and other project resources.
Any cancellation or termination should be communicated in writing.
12Ownership & Rights
After the Client has paid all amounts due under the project, the Client owns the final custom voiceover deliverable specifically created and delivered for the Client under the approved project scope, subject to the limitations in this section and any applicable third-party license.
4th Vision retains ownership of its pre-existing materials, production methods, workflows, templates, production techniques, internal systems, general know-how, reusable tools, unused or rejected concepts, materials not specifically created for the Client, and other underlying production resources.
Third-party voice talent, music, sound effects, samples, recordings, and other licensed materials remain subject to their applicable license and usage terms.
4th Vision does not promise ownership or transfer rights in third-party materials beyond what the applicable license permits.
13Portfolio Use & Credit
Unless the Client requests confidentiality in writing, 4th Vision may display completed project work for portfolio, website, social media, promotional, educational, demonstration, presentation, marketing, and demo-reel purposes.
4th Vision may identify itself as the production provider for completed work where reasonably appropriate.
Where a project is publicly credited, 4th Vision may request reasonable production credit.
If a project is confidential, unreleased, white-label, or subject to a third-party confidentiality requirement, portfolio use and credit may be delayed, limited, or excluded according to the applicable written agreement.
14Agency, Production & White-Label Work
Agencies, production companies, marketing firms, studios, brands, and other organizations may engage 4th Vision as a third-party production partner.
Services may include voiceover production, voice talent coordination, recording, voice engineering, editing, post-production, production assistance, and other approved audio services.
Agency or white-label engagements may be governed by a separate SOW, subcontractor agreement, purchase order, or other written project agreement.
Agency pricing is determined separately based on scope, requirements, usage, talent, timeline, and production responsibilities.
15Scope Changes & Future Work
The approved project scope controls the specific work included in the applicable project.
Additional work may include additional scripts, voices, languages, versions, cutdowns, alternate performances, campaigns, usage, media, deliverables, production services, or substantially different creative direction.
No additional work is required of 4th Vision until the applicable scope, fees, and any timeline adjustment have been approved in writing.
Future voiceover projects, updated scripts, new campaigns, new recordings, or substantially different creative work are not automatically included in the original project investment.
16File Storage & Redelivery
Final project files will remain available for download for ninety (90) days following final delivery.
After that period, file recovery or redelivery may be subject to a $75 fee.
Clients are encouraged to download and maintain their own backup copies of all final files.
17Technical Warranty
4th Vision provides a ninety (90) day technical warranty on final delivered files.
If a delivered file contains a production or technical error caused by 4th Vision, 4th Vision will correct the issue and re-deliver the affected file at no additional production charge.
The warranty does not cover new creative requests, new or rewritten scripts, new business information, new versions, new usage requirements, Client-requested alterations after approval, changes to the original project, third-party talent issues, third-party system or equipment issues, Client modifications to delivered files, or new creative directions.
18No Guarantee of Business Results
4th Vision provides creative and production services and makes no guarantee regarding sales, revenue, leads, conversions, audience growth, customer response, advertising performance, marketing performance, downloads, engagement, entertainment performance, or any other specific business, financial, marketing, or audience result.
Business and audience outcomes depend on factors outside 4th Vision's control.
19Confidentiality
Each party agrees to use reasonable care to protect confidential information received from the other party and to use that information only for purposes related to the project.
Confidential information does not include information that is publicly available, was already lawfully known by the receiving party, is independently developed, is lawfully received from another source, or must be disclosed by law.
Confidentiality obligations continue after project completion to the extent applicable under law.
20Limitation of Liability
To the extent permitted by applicable law, 4th Vision's total liability arising from the project will not exceed the amount actually paid by the Client for the applicable project.
To the extent permitted by applicable law, neither party will be responsible for indirect, incidental, consequential, special, or lost-profit damages.
This provision should be reviewed and finalized by qualified legal counsel.
21Force Majeure
Neither party will be considered in breach or responsible for delay caused by circumstances reasonably beyond its control, including natural disasters, major technical failures, governmental actions, emergencies, illness, internet failures, telecommunications failures, third-party service interruptions, or other extraordinary circumstances.
The affected party will communicate the delay and resume performance when reasonably possible.
22Communication & Approval
Email is the primary method for formal project communication and approval.
Text messaging or other communication platforms may be used for secondary communication.
Material project decisions—including creative approvals, scope changes, additional work, payment changes, cancellation, usage changes, talent approvals, and licensing approvals—should be confirmed in writing through email, electronic signature, written confirmation, or another documented method agreed by the parties.
23Governing Law & Dispute Resolution
This Agreement will be governed by the laws of the State of Florida, unless otherwise agreed in a final written agreement.
If a dispute arises, the parties agree to first attempt to resolve the matter through good-faith communication.
If the dispute cannot be resolved directly, the parties may attempt mediation before pursuing further legal remedies, where appropriate and subject to the final agreement and applicable law.
Any applicable county or venue provisions should be finalized in the executed agreement.
24Electronic Agreement
The parties agree that electronic signatures, electronic acceptance, and electronically documented approvals may be used to enter into and administer this Agreement.
Electronic signatures and documented electronic acceptance may have the same legal effect as handwritten signatures to the extent permitted by applicable law.
25Statement of Work / Project Confirmation
The applicable SOW, proposal, invoice, project confirmation, or other written project documentation may establish the specific terms of an individual project, including Client, Project, Script, Voice Talent, Number of Voices, Language, Accent, Usage, Deliverables, Formats, Licensing, Third-Party Costs, Timeline, Rush Requirements, Revision Requirements, Price, and Special Requirements.
If a project-specific document conflicts with this Agreement, the project-specific document controls only with respect to the specific project terms expressly addressed in that document.
All other provisions of this Agreement remain in effect.
